Mezi Terms of Service

Welcome to Mezi. These Terms of Service (“Terms”) are a legal agreement between you and Mezi Inc., a Delaware corporation with its principal place of business in Los Angeles, California (“Mezi,” “we,” “us,” or “our”). They govern your use of the Mezi mobile app, our website at mezisocial.com, and all related services (together, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Community Guidelines, which are incorporated into these Terms by reference. If you don’t agree, don’t use Mezi.

ARBITRATION NOTICE: Section 17 provides that most disputes between you and Mezi will be resolved by binding, individual arbitration, and that you waive your right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days as described in Section 17.

1. Introduction and acceptance

By accessing or using the Service, you agree to be bound by these Terms, including our Privacy Policy and Community Guidelines, so please read them carefully before you create an account. These Terms apply to everyone who accesses or uses the Service, whether or not you register or subscribe.

We may update these Terms from time to time. If we make material changes, we’ll let you know (for example, in the app or by email) before they take effect. To the extent permitted by law, continuing to use Mezi after changes take effect means you accept the updated Terms. If you don’t accept a change, stop using the Service. We may also introduce mandatory features designed to improve the functionality, security, or safety of the Service; if you don’t wish to use a mandatory feature, you may need to stop using the Service.

2. Who can use Mezi (eligibility)

You may only create an account or use the Service if every one of the following is true. By using Mezi, you confirm and promise that:

  • You are an individual (not a business entity) at least 18 years old;

  • You are legally able to enter a binding contract with Mezi;

  • You are not located in, or a national of, a country subject to a U.S. Government embargo, and you are not on any U.S. government list of restricted or prohibited parties;

  • You are not prohibited by any applicable law from using the Service;

  • You have not been convicted of, or pled no contest to, a felony or any crime involving violence, a threat of violence, or sexual misconduct;

  • You have only one account on the Service; and

  • You haven’t previously been banned or removed from Mezi — unless we’ve agreed in writing that you can come back.

If at any time you stop meeting these requirements, your authorization to use the Service is automatically revoked, and we may remove your access without notice. Mezi is currently offered in the United States, starting in Los Angeles.

 

3. Your account and responsibilities

To use most features, you create an account. You agree to:

  • Provide accurate, current information and keep it updated;

  • Be a real person using your own real identity — one account per person, no impersonation, no bots, and no accounts on behalf of someone else;

  • Complete verification (including selfie verification, and optionally ID verification) where required. Verification is required before you can access Connect, Mezi’s people-and-connection features;

  • Present yourself authentically, including at least one photo that clearly shows your face;

  • Treat other users, and our team, courteously and respectfully, both on and off the Service;

  • Keep a strong password and take reasonable measures to protect your login credentials — you’re responsible for everything that happens on your account; and

  • Notify us right away at contact@mezisocial.com if you believe your account has been compromised.

 

4. Things you may not do

You agree that you will not:

  • Misrepresent your identity, age, employment, qualifications, or affiliations;

  • Harass, bully, stalk, intimidate, threaten, defame, or otherwise mistreat any person, on or off the Service;

  • Solicit money or other items of value from another user, or solicit passwords or personal information for commercial or unlawful purposes;

  • Use the Service in connection with any scam, fraud, pyramid scheme, phishing, money laundering, or “sugar” or other paid-companionship arrangement;

  • Use the Service to advertise or sell products or services, spam other users with promotional content, or promote events outside Mezi’s official event-submission tools;

  • Use the Service in connection with political campaign financing or to influence an election (sharing your own personal opinions is fine);

  • Use another person’s account, or share your account with anyone else;

  • Post or share Prohibited Content (see Section 5);

  • Disclose private or proprietary information you don’t have the right to disclose;

  • Copy, scrape, data-mine, index, or reproduce the Service or other users’ content using any robot, crawler, or automated means;

  • Use or develop any third-party application or service — including any artificial-intelligence or machine-learning system — that interacts with the Service or other users’ content without our written consent, or use content from the Service to train any such system;

  • Reverse-engineer, decompile, modify, or create derivative works from any part of the Service, or attempt to access it through unauthorized means;

  • Probe, scan, or test the vulnerability of the Service, or upload viruses or other malicious code; or

  • Submit a report about another user that is false, misleading, or manifestly unfounded, or otherwise abuse our reporting or appeals tools.

Your license to use the Service is automatically revoked if you do any of the above.

5. Prohibited Content

You may not post, share, or transmit content that:

  • Harasses, threatens, defames, or is intended to upset, alarm, or humiliate another person;

  • Is sexually explicit or pornographic, or contains nudity;

  • Sexualizes, endangers, or exploits anyone and anyone under 18 in any way. This is strictly prohibited and reported as described in Section 11;

  • Is hateful, discriminatory, or promotes racism, sexism, bigotry, or hatred against people based on a protected characteristic, or contains hate symbols;

  • Threatens, encourages, or glorifies violence, self-harm, eating disorders, dangerous challenges, or harm to any person;

  • Is illegal or facilitates illegal activity, including trafficking, or the sale of drugs, weapons, or stolen goods;

  • Relates to commercial activity, advertising, or solicitation (other than legitimate event listings submitted through Mezi’s official event-submission tools), or to “sugar” or other paid-companionship arrangements;

  • Infringes anyone’s intellectual-property or privacy rights, or shares another person’s private information without consent (doxxing);

  • Includes the image or likeness of another person without their consent; or

  • Was not created by you or was automatically generated in a misleading way, unless we expressly allow it (for example, AI-generated or heavily altered images may not be used as your main profile photos).

Posting Prohibited Content may result in immediate removal of the content and suspension or termination of your account.

 

6. How Mezi works

Mezi is an event-discovery app for going out, with a connection layer — where you can discover events, make friends, and date, all anchored to what’s actually happening around you. You discover what’s happening across Los Angeles, save the events you’re interested in or going to, keep them in your My Events space, and — through Connect — meet other people who are going out too. Features include event discovery; a personal My Events space; scrapbook-style Friend and Dating profiles with per-photo and per-event visibility controls; an event directory with an interest/RSVP mechanic and an optional “Open to meet” setting; shareable “Vibes”; and messaging with your friends and connections. Connect, Mezi’s people-matching layer, opens as the community and event activity in your area grow, so it may show a limited or gated state until then; when available, connecting happens consensually — for example, through a friend request or by opting in to meet people at an event. We may add, change, or remove features at any time. Some features are free; others require payment as described in Section 8.

7. Your content and the license you give us

You own the content you create on Mezi — your photos, bio, Vibes, messages, and other materials (“Your Content”). You keep that ownership, and you are solely responsible for Your Content.

To run the Service, you grant Mezi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting and display), publish, and display Your Content solely to operate, provide, and improve the Service — for example, to show your profile to potential connections or let you share a Vibe. This license ends when you delete the content or your account, except for (a) content others have already shared or forwarded off the Service (such as a Vibe shared to another platform) and (b) copies retained for legal, safety, or backup purposes.

You represent that you own or have the rights to Your Content and that it doesn’t violate these Terms, the Community Guidelines, or anyone’s rights. If you use any tool to generate or enhance content, that is still Your Content and you remain responsible for it. You may not display other users’ content (“Member Content”) outside the Service or use it for any purpose other than using Mezi as intended. Everything else on the Service — the Mezi name and logo, software, design, and content we create (“Our Content”) — belongs to Mezi or our licensors.

We use automated tools and human review to screen and moderate content, and we may remove, edit, or limit access to any content, or withhold it from display, at any time and at our discretion. Vibes are shareable and may travel off Mezi (for example, to TikTok or Instagram) — post with that in mind.

8. Memberships, payments, and renewals

Mezi is currently free to use. We are not charging users at this time, and there are no paid subscriptions, verification fees, or in-app purchases while the app is in this free period. If we introduce paid features in the future, we will update these Terms and clearly show all prices and terms in the app before you are ever charged.

The rest of this section explains how payments, subscriptions, and renewals will work if and when we offer them. If we do introduce paid tiers, they may include options such as a one-time selfie-verification fee, a monthly subscription, a lifetime “Founding Members” option, and à la carte add-ons. Prices, features, and availability will be shown in the app and may change; changes won’t affect a billing period you’ve already paid for.

Billing:

When you buy a subscription or in-app purchase through Apple’s App Store (or another app store), that purchase is processed by the app store under its terms, not directly by Mezi, and you must manage or cancel it through your app-store account. Other payments may be processed by our payment processor, Stripe. Mezi does not store your full payment-card details.

Auto-renewing subscriptions:

If we offer subscriptions, they will renew automatically until you cancel. Here is exactly how that will work.

Before you subscribe. Before you are charged, we show you — clearly, and on the same screen where you agree — all of the following:

  • That the subscription continues automatically until you cancel;

  • The price, and how often you’ll be charged;

  • The length of the subscription term, and any minimum commitment;

  • The deadline for cancelling to avoid the next charge; and

  • How to cancel, in plain terms.

You give separate, affirmative consent to these automatic-renewal terms — agreeing to them is its own action, not something bundled into accepting these Terms or completing a purchase. After you subscribe, we send you a confirmation that repeats the renewal terms and tells you how to cancel.

How to cancel. You can cancel at any time, using the same method you used to sign up:

  • Bought through the Apple App Store (or another app store)? Cancel in your app-store account settings. Apple processes and manages those subscriptions, so cancellation happens there — not with us.

  • Paid us directly (processed by Stripe)? Cancel in the Mezi app or on our website, in your account settings. It takes effect immediately and requires no phone call, no email, and no retention offer you have to sit through.

Cancelling stops the next renewal; you keep access until the end of the period you already paid for. Note that deleting the Mezi app does not cancel a subscription — you have to cancel it as described above.

Reminders and price changes. State rules differ, so we apply the strictest standard to everyone:

  • A cancel button in the app. If you subscribed directly through us, there is a cancel option in your account settings in the Mezi app — you never have to contact us to stop a subscription.

  • Reminders before long renewals. For subscriptions of six months or longer, we send a reminder 15 to 45 days before the renewal date, identifying the subscription, the amount and frequency of the charges, and how to cancel.

  • Trial and promotional pricing. If you start a free trial or a promotional rate, we remind you 3 to 21 days before it ends and regular pricing begins.

  • Price increases. We won’t raise the price of your renewing subscription without your consent. We’ll tell you clearly in advance and give you the choice to accept the new price or cancel.

A price change never affects a billing period you’ve already paid for.

Refunds:

Except where required by law or by app-store policy, payments are non-refundable and there are no refunds or credits for partial periods. Purchases made through the App Store are subject to Apple’s refund policies, which you request from Apple, not Mezi.

California subscribers: you may cancel a subscription, without penalty or obligation, at any time prior to midnight of the third business day following the date you subscribed, and request a refund by contacting us at contact@mezisocial.com. If you subscribed through your Apple ID, refunds are handled by Apple. In accordance with Cal. Civ. Code §1789.3, California users may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

Lifetime memberships:

“Lifetime” means for the lifetime of the Service or your account, whichever ends first; it does not create an obligation to operate the Service indefinitely.

9. Safety — no background checks (important)

Mezi is not a background-checking service. We verify that users are real people who meet our age requirement, but we do not conduct criminal background checks, identity guarantees, sex-offender screenings, or any screening of users’ character or conduct. Verification is not a guarantee of anyone’s identity, intentions, or safety.

You are solely responsible for your interactions with other users, online and in person. Communications you receive through the Service may come from people engaging with it for improper purposes. Use good judgment, review our in-app Safety Center, and take sensible precautions whenever you communicate with or meet anyone. To the fullest extent permitted by law, Mezi is not responsible or liable for the actions or conduct of any member or user, whether online or offline, on or off the Service. If you are in immediate danger, contact local emergency services (911 in the U.S.).

10. Events and third parties

10.1 Third-party events and services

Mezi displays information about events, venues, and communities, and may link to third-party services (such as ticketing). We don’t own, run, endorse, or control those events or third parties. To the fullest extent permitted by law, Mezi is not responsible or liable for any event or anything relating to it — including event changes, postponements, cancellations, promotions or promotional offers, pricing, ticketing, admission, entry requirements, safety, or anything that happens before, during, or after an event. Your dealings with third parties are between you and them, and their terms govern that relationship. The Service may also contain links to other websites or resources we don’t control.

10.2 Event information may change and may be inaccurate

Event details shown on Mezi — including dates, times, locations, prices, age restrictions, lineups, descriptions, and availability — are compiled from public sources, event organizers, venues, promoters, and other third parties. This information may be incomplete, outdated, or inaccurate, and it is subject to change at any time without notice to Mezi and without Mezi’s knowledge. Mezi does not create these events and does not guarantee the accuracy, completeness, or timeliness of any event information.

Before you make plans, travel, purchase tickets, or otherwise rely on any event detail, you should confirm it with the official source for that event — the event’s own website or Instagram page (or the organizer or venue directly). The official event source controls; Mezi’s listing is a convenience, not the final word. To the fullest extent permitted by law, Mezi is not responsible for any loss, cost, or inconvenience resulting from event information that is inaccurate, incomplete, changed, postponed, or cancelled.

10.3 Event images, fliers, and artwork

Promotional images, fliers, artwork, photographs, logos, and similar materials shown in connection with events are the property of their respective owners — event organizers, venues, artists, promoters, or other rights holders. Mezi does not claim ownership of this artwork, and Mezi does not sell, license, or otherwise profit from the sale of it.

Where Mezi displays such materials, it does so for informational and promotional purposes — to help people discover events — using materials that are publicly distributed as promotional or press materials, are provided by the organizer, or are otherwise believed to be cleared for this use. Where such materials are not available or cleared, Mezi uses its own house-template event cards together with its own descriptions and a link back to the original source. Event, venue, and third-party names, trademarks, and logos belong to their owners, and their appearance on Mezi does not imply any affiliation with, sponsorship of, or endorsement by Mezi.

If you are a rights holder and believe your work has been used on Mezi improperly, contact us at contact@mezisocial.com or use the copyright/DMCA process in Section 18, and we will review your request and, where appropriate, remove the material. 

 

11. Reporting and moderation

We don’t tolerate inappropriate content or behavior. You can report any profile, message, Vibe, or event using the in-app Report tools. Moderation on Mezi is part software, part people: automated screening flags content, and our team reviews what gets reported, with the most serious harms handled first. If we detect child sexual abuse material (CSAM), we report it to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement as required by law.

Depending on the violation, we may take no action, issue a warning, remove content, suspend an account, or permanently ban an account. Serious violations — anything involving minors, credible threats, or serious safety risks — may result in an immediate permanent ban. Submitting false or manifestly unfounded reports, or abusing our reporting tools, is itself a violation and may result in action against your account. If you believe we made a mistake, you may appeal as described in the Community Guidelines. We may not share details about another user’s account or the outcome of your report where doing so could impair another person’s safety or privacy.

12. Mezi’s intellectual property and your license

The Service — including the Mezi name and logo, software, design, and content we create — is owned by Mezi Inc. and protected by law. For as long as you comply with these Terms, we grant you a limited, personal, non-transferable, non-sublicensable, revocable license to access and use the app for its intended purpose. You may not copy, modify, reverse-engineer, scrape, or create derivative works from the Service except as the law allows. This license is automatically revoked if you violate these Terms.

 

13. Suspension and termination

You can stop using Mezi and delete your account anytime in the app. If you have an app-store subscription, cancel it through your app-store account to avoid further billing. We may suspend, terminate, or ban your account — with or without notice and without a refund — if we believe you have violated these Terms or the Community Guidelines, misused the Service, behaved unlawfully or inappropriately on or off the Service, or if we’re required to by law or need to protect the Service or other users. If we terminate or ban your account, that removal is permanent: you may not access or use the Service again, and you may not create a new or additional account, unless we expressly agree in writing to let you return. We may also block your access and take reasonable steps to prevent you from signing up again. Provisions that by their nature should survive termination — including content licenses already granted, disclaimers, limitations of liability, indemnification, and dispute terms — will survive.

 

14. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content you obtain through it will be accurate. We make no guarantees about the number of users, any user’s ability or desire to communicate with or meet you, or that you’ll find a match, a friend, or a date. We assume no responsibility for the conduct, identity, or content of any user.

 

15. Limitation of liability

To the fullest extent permitted by law, Mezi Inc. and its officers, directors, employees, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service, the conduct or content of any user, or any unauthorized access to your content — even if we’ve been advised of the possibility of such damages.

To the fullest extent permitted by law, Mezi’s total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid Mezi in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.

Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by our negligence, or for any other liability that cannot lawfully be limited. Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you.

 

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Mezi Inc. and its team from claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your interactions with other users, or your violation of these Terms or the law.

 

17. Dispute resolution, arbitration, and governing law

 

17a. Governing law

These Terms, and any dispute between you and Mezi, are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in this Section 17.

 

17b. Informal resolution first

Most concerns can be resolved quickly. Before starting arbitration or a court action, you agree to first contact us at contact@mezisocial.com with a written Notice of Dispute that includes your name, the email or phone number associated with your account, a description of the dispute, and the relief you’re seeking. You and Mezi will then try in good faith to resolve it. If we haven’t resolved it within 30 days of the notice, either of us may begin arbitration.

 

17c. Agreement to arbitrate

Please read this carefully — it affects your rights. Except for the exceptions below, you and Mezi agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration, not in court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator can award the same relief a court could, but only in favor of the individual party seeking relief. You and Mezi each waive the right to a jury trial.

 

17d. Class-action waiver

You and Mezi agree that claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding.

 

17e. Exceptions

The following are not subject to mandatory arbitration:

  • Claims that qualify for small-claims court may be brought there, on an individual basis;

  • Disputes about intellectual property (such as copyright or trademark);

  • Claims under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, which you may bring in court; and

  • Questions about the scope or enforceability of this arbitration provision, which are for a court to decide.

 

17f. Your right to opt out

You can opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing contact@mezisocial.com (or writing to us at the address in Section 22) with your name, the email or phone number on your account, and a clear statement that you want to opt out of arbitration. Opting out won’t affect any other part of these Terms.

 

17g. Fees

Payment of arbitration fees is governed by the AAA rules. Under those rules your share of the filing fee is capped at the consumer rate, and Mezi pays the remaining administrative fees and the arbitrator’s compensation. In addition, Mezi will cover your filing fee for claims seeking less than USD $75,000 where you have provided a Notice of Dispute as described above. Different rules apply to Mass Filings — see Section 17h.

 

17h. Mass filings

Arbitration is meant to resolve genuine individual disputes efficiently. If 25 or more similar claims are asserted against Mezi and the claimants are represented by the same counsel or by coordinated counsel, those claims are a “Mass Filing.” A Mass Filing is administered under the AAA Mass Arbitration Supplementary Rules, together with the following procedures:

  • Process Arbitrator. Under the AAA rules, a Process Arbitrator may be appointed to decide administrative questions before any claim reaches the merits — including whether each claimant actually completed the informal-resolution steps required by Section 17b.

  • Merit Arbitrators. Claims that proceed are then decided on their own merits by an arbitrator appointed under the AAA rules.

  • Batching. Claims are administered in batches of up to 50 at a time rather than all at once.

  • Staged fees. Arbitration fees are assessed only for the batch currently being arbitrated. No fees are owed for claims still waiting in the queue.

  • Bellwether process. The first two batches proceed to decision, after which you and Mezi will take part in a global mediation before any further batches are arbitrated.

  • Tolling. Any statute of limitations or filing deadline is paused for claims awaiting their batch, so nobody loses a claim by waiting their turn.

  • Election to go to court. Either you or Mezi may elect to have your individual claim decided in court instead of arbitration, on an individual (non-class) basis.

 

17i. Court claims and venue

For any claim that is not subject to arbitration or that proceeds in court, you and Mezi agree it will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

 

18. Copyright (DMCA)

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to our designated agent, below, including: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and where it’s located; your contact information; a statement of your good-faith belief that the use isn’t authorized; and a statement, under penalty of perjury, that your notice is accurate and that you’re authorized to act for the owner. We terminate the accounts of repeat infringers.

19. Apple App Store terms

These terms apply when you download Mezi from the Apple App Store, in addition to everything above:

  • These Terms are between you and Mezi Inc. only, not Apple. Apple is not responsible for the app or its content.

  • Your license to use the app is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.

  • Apple has no obligation to provide maintenance or support for the app.

  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation regarding the app. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Mezi’s responsibility, not Apple’s.

  • Apple is not responsible for addressing any claims by you or a third party relating to the app, including product-liability claims, claims that the app fails to meet legal requirements, and claims under consumer-protection or privacy law.

  • For any third-party claim that the app or your use of it infringes intellectual-property rights, Mezi, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim.

  • You represent that you are not located in a U.S.-embargoed country or on a U.S. government restricted-parties list.

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

 

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you (for example, in the app or by email) before they take effect. Continuing to use Mezi after changes take effect means you accept the updated Terms.

 

21. Other

These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and Mezi about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision isn’t a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
